Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Vertu(“Vertu”, “we”, “us”, “our”) — the booking and embedded-checkout platform for hospitality venues — including the website at vertu.co.za, the Vertu admin application, and the Vertu booking widgets embedded on venue websites (together, the “Service”).
By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you confirm that you are authorised to bind that business. If you do not agree, do not use the Service.
1. The Service
Vertu provides software that lets hospitality venues take bookings, deposits and payments through a single embedded checkout, and lets guests discover and book those services. Vertu is a technology provider and booking facilitator — the venue, not Vertu, is the provider of the accommodation, dining, experience or other service you book, and is responsible for delivering it and for its own booking, deposit and cancellation policies.
2. Accounts & eligibility
To use certain features you must create an account and provide accurate information. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or make a booking. Notify us promptly of any unauthorised use.
3. Bookings & payments
- A booking made through a Vertu widget is a request to reserve a venue’s service. Availability, confirmation, and the terms of the booking (including deposit, amendment and cancellation rules) are set by the venue.
- Payments are processed by our payment provider, Paystack. By paying, you also agree to Paystack’s applicable terms. Vertu does not store full card details.
- Amounts charged (deposits or full payments) are shown before you confirm. Refunds, where applicable, are governed by the venue’s policy and applicable law.
- Where a booking is synced to a venue’s property or point-of-sale system, availability may change between systems; the venue’s records govern in the event of a conflict.
4. Fees
If you are a venue using Vertu, the fees, billing cycle and plan for your use of the Service are set out in your order or subscription. Fees are payable in advance unless stated otherwise and, except where required by law, are non-refundable. We may change fees on reasonable notice; changes apply from your next billing cycle.
5. Acceptable use
You agree not to:
- use the Service unlawfully or to facilitate unlawful activity;
- interfere with or disrupt the Service, attempt to gain unauthorised access, or probe or scan our systems;
- submit false, fraudulent or another person’s information, or make fraudulent bookings or payments;
- copy, resell, or reverse-engineer the Service except to the extent permitted by law; or
- infringe the rights of Vertu, venues or any third party.
6. Third-party integrations
The Service integrates with third-party providers — including Paystack (payments), Cloudbeds, ChiDesk and Lightspeed (property and point-of-sale systems), and analytics/advertising providers such as Google and Meta. Your use of those integrations is also subject to the relevant third party’s terms. We are not responsible for third-party services, and their availability may affect the Service.
7. Intellectual property
The Service, including its software, design, and the Vertu name and logo, is owned by Vertu or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
8. Privacy & data
Our Privacy Policy explains how we collect, use and protect personal information and forms part of these Terms. When we handle guest bookings on behalf of a venue, the venue is the responsible party for that guest data and Vertu acts as its operator under POPIA.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that any venue’s service, availability or pricing is accurate — that is the venue’s responsibility. Nothing in these Terms excludes rights you have under the Consumer Protection Act or other applicable law that cannot lawfully be excluded.
10. Limitation of liability
To the maximum extent permitted by law, Vertu will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of the Service. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the amounts you paid to Vertu for the Service in the three months before the event giving rise to the claim, or ZAR 1,000. Nothing limits liability that cannot lawfully be limited.
11. Indemnity
You agree to indemnify and hold Vertu harmless from claims, damages and expenses (including reasonable legal fees) arising from your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.
12. Suspension & termination
We may suspend or terminate access to the Service if you breach these Terms, if required for security or legal reasons, or on reasonable notice for business reasons. You may stop using the Service at any time; venue subscriptions may be cancelled as set out in your order. Provisions that by their nature should survive termination (including intellectual property, disclaimers, liability, and indemnity) will survive.
13. Changes
We may update the Service and these Terms from time to time. When we change these Terms we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after a change takes effect means you accept the revised Terms.
14. Governing law
These Terms are governed by the laws of the Republic of South Africa, and you submit to the non-exclusive jurisdiction of the South African courts, without affecting any mandatory consumer-protection rights available to you where you live.
